Terms of Service

These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your", or "User") and ViberWorld.com ("ViberWorld", "we", "us", or "our") governing your access to and use of the website at viberworld.com, all subdomains, mobile or desktop applications, APIs, tools, AI features (including Vibester), community surfaces (DMs, chat, VibeBoard, comments, profiles), badges, paid subscriptions, vibercoins, and any other product or service we offer (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, INCLUDING BY CREATING AN ACCOUNT, YOU AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND OUR DISCLAIMER. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Eligibility

1. You must be at least 13 years old to create an account. Users under 18 must have permission from a parent or legal guardian who agrees to these Terms on their behalf.
2. To purchase any paid subscription, vibercoin pack, or other paid feature, you must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction.
3. You represent that you are not located in any country subject to a U.S. Government embargo, and that you are not on any U.S. Government list of prohibited or restricted parties.
4. One person may register only one account, except where we expressly authorize additional accounts in writing.

2. Your Account

1. You are responsible for maintaining the confidentiality of your password, two-factor codes, recovery codes, API keys, and any other access credentials, and for all activity that occurs under your account whether or not you authorized it.
2. You agree to provide accurate, current, and complete information at registration and to keep that information up to date. We may suspend or terminate accounts found to contain false information.
3. You will notify us immediately of any unauthorized access. We are not liable for losses arising from your failure to safeguard your credentials or to notify us of compromise.
4. We may, in our sole discretion and at any time, refuse, suspend, throttle, jail, restrict, or terminate any account, with or without notice, for any reason or no reason, including violation of these Terms, suspected abuse, non-payment, security risk, or operational necessity.

3. The Service Is Provided "AS IS"

4. Acceptable Use

You agree not to (and not to authorize, encourage, enable, or assist any third party to):

• Violate any law, regulation, court order, or third-party right;
• Post, upload, send, or transmit any content that is unlawful, defamatory, obscene, pornographic, child sexually-abusive, harassing, threatening, hateful, abusive, fraudulent, deceptive, or invasive of another's privacy;
• Impersonate any person or entity, misrepresent your identity, or falsely claim affiliation with ViberWorld, its staff, Vibester, or any other person;
• Attempt to access, scrape, harvest, copy, mirror, frame, reverse-engineer, decompile, disassemble, or derive source code from the Service or any portion of it;
• Use any automated means (bots, scripts, scrapers, headless browsers, or AI agents) to interact with the Service without our prior written permission, except for documented APIs we make publicly available;
• Probe, scan, test, or attempt to circumvent the security, rate limits, paywall, jail, moderation, authentication, or access-control mechanisms of the Service;
• Inject, distribute, or attempt to introduce malware, viruses, worms, trojans, ransomware, prompt injections, or any other malicious code or instructions;
• Interfere with the Service's operation, including by overloading servers, generating excessive requests, attacking infrastructure, or disrupting other users;
• Resell, redistribute, sublicense, lease, rent, or otherwise commercialize the Service or its output without our prior written permission;
• Use the Service or its output (including AI-generated content) to train any machine-learning model, language model, embedding system, or competing product;
• Misrepresent AI-generated content as human-authored where doing so would mislead a third party (e.g., academic submissions, legal filings);
• Use the Service for spam, phishing, scams, pyramid schemes, multi-level marketing recruitment, or any unsolicited commercial communication;
• Harass, dox, intimidate, or threaten any user, staff member, contractor, or third party, including ViberWorld's AI staff member Vibester;
• Post, share, or solicit personally identifiable information of any third party without their explicit prior consent;
• Take any action that ViberWorld, in its sole discretion, deems contrary to the spirit of the Service.

Violations may result in content removal, account suspension, account termination, jail (a temporary lockout from the Service), permanent ban, forfeiture of any vibercoin balance, forfeiture of any unused subscription period, civil liability, and/or referral to law enforcement.

5. User Content

5.1 Your Ownership

You retain whatever ownership rights you have in the content you submit, post, upload, or display through the Service ("User Content").

5.2 License to ViberWorld

By submitting User Content, you grant ViberWorld a worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable, non-exclusive license to host, store, reproduce, modify, adapt, translate, create derivative works of, publicly display, publicly perform, distribute, transmit, and otherwise use your User Content, in any medium and through any current or future channel, for any lawful purpose related to operating, providing, improving, marketing, or evolving the Service. This includes the right to use User Content for AI training, fine-tuning, retrieval-augmented generation, embedding, evaluation, model selection, and other machine-learning purposes within and across our products.

5.3 Your Representations

You represent and warrant that you own or have all necessary rights to grant the license in Section 5.2, that your User Content does not violate any law or third-party right, and that ViberWorld's exercise of that license will not violate any contract, privacy right, intellectual property right, or other right of any third party.

5.4 Removal

We may remove, hide, edit, demote, label, jail, or otherwise restrict any User Content at any time, in our sole discretion, with or without notice and without liability. We are not obligated to retain any User Content.

5.5 Public Content

Content posted to public surfaces (VibeBoard posts, public chat rooms, comments, profiles when set to public, etc.) is publicly visible. Do not post anything you are not willing to make public worldwide indefinitely.

6. AI Features (Vibester and Tools)

1. The Service includes AI-powered features, including an AI staff member named Vibester and various AI-assisted or AI-derived tools.
2. AI features are statistical systems and may produce inaccurate, incomplete, biased, offensive, or misleading output. Output may not reflect ViberWorld's positions or facts. You must independently verify any output before relying on it for any decision, transaction, or external use.
3. You acknowledge that interactions with Vibester and submissions to AI tools are processed by AI systems, may be logged, may be used to build a profile of you for service personalization and sales purposes, and may be used to operate, improve, secure, train, or evaluate AI features.
4. AI features may be unavailable, rate-limited, paused, replaced, modified, or removed at any time without notice.
5. The Service is not, and AI output is not, professional advice of any kind, including legal, medical, financial, investment, tax, accounting, engineering, psychological, or career advice. Do not act on AI output without consulting an appropriately qualified human professional.

7. Subscriptions, Payments, and Vibercoins

1. Tiers and pricing. Free, Pro, Premium, Lifetime, and any other tier we offer have features and pricing described on the Service at the time of purchase. Pricing is subject to change. Beta pricing in particular is provisional.
2. Recurring billing. Subscriptions auto-renew at the end of each billing period at the then-current price unless canceled before renewal. You authorize us (and our payment processors) to charge your payment method on each renewal.
3. Cancellation. You may cancel a subscription at any time. Cancellation takes effect at the end of the current paid period. Access to paid features ends when the period ends.
4. Refunds. All payments are final and non-refundable except where required by applicable law. We may, at our sole discretion and without obligation, issue partial or full refunds. We are not obligated to issue refunds for unused subscription time, accidental purchases, dissatisfaction with the Service, account termination, feature changes, or service interruptions.
5. Vibercoins. Vibercoins are a non-monetary in-Service utility, not legal tender, not redeemable for cash, not transferable between accounts, and not subject to refund. Vibercoins may expire, be revalued, be revoked, or be eliminated at any time without compensation. Any vibercoin balance is forfeited upon account termination for any reason.
6. Taxes. Prices do not include taxes unless stated. You are responsible for all sales, use, value-added, withholding, and similar taxes arising from your purchases.
7. Payment processors. Payments are processed by third-party processors (e.g., Stripe, PayPal). Their terms apply to the payment portion of your transaction. We are not responsible for processor errors, holds, or chargebacks.
8. Chargebacks. Initiating a chargeback without first attempting in good faith to resolve the issue with us may result in immediate and permanent account termination plus forfeiture of all vibercoins and paid time.

8. ViberWorld's Intellectual Property

The Service, including all software, design, code, trademarks (including "ViberWorld," "Vibester," and any associated logos), layouts, copy, AI prompts, AI tooling, badges, brand assets, and any related materials, is owned by ViberWorld or its licensors and is protected by copyright, trademark, trade secret, and other laws. Except for the limited license to use the Service granted in these Terms, no rights are transferred to you. You may not use any ViberWorld trademark or branding without prior written permission.

9. Termination

1. By you. You may stop using the Service at any time. You may delete your account through Account Settings. Some data may be retained as described in our Privacy Policy and below.
2. By us. We may suspend, jail, throttle, restrict, or terminate your access to the Service or your account, in whole or in part, at any time, for any reason or no reason, with or without notice and without liability.
3. Effect of termination. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including, without limitation, Sections 3, 5, 8, 9, 10, 11, 12, 13, 14, 15, and 16) will survive.
4. Data after termination. We may retain account data, User Content, logs, and derived data (including AI profile data built from your interactions) after termination as needed for legal compliance, fraud prevention, dispute resolution, security, business operations, or as otherwise permitted by law.

10. Limitation of Liability

Some jurisdictions do not allow exclusion or limitation of certain damages. To the extent any limitation in this Section is held unenforceable, the limitation will apply to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless ViberWorld and its affiliates, officers, directors, employees, contractors, agents, suppliers, and licensors from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, awards, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or any law or third-party right; (d) your interaction with any other user; or (e) any misrepresentation made by you. We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you will cooperate with us in asserting any available defenses.

12. Disclaimers of Service Availability

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) defects will be corrected; (c) the Service or its servers are free of viruses or other harmful components; (d) any information obtained through the Service is accurate or reliable; (e) any specific feature will continue to be available; or (f) any user data, profile, post, message, badge, vibercoin balance, or score will be retained, recoverable, or backed up.

13. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, services, or products (including OpenRouter, payment processors, model providers, hosting providers, analytics providers, email providers, and others). We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your use of any third-party service is at your own risk and subject to that third party's terms.

14. Changes to the Terms

We may modify these Terms at any time by posting the revised Terms on the Service. Material changes may, but need not, be notified to you. Your continued use of the Service after a change constitutes acceptance of the new Terms. If you do not agree to a change, your sole remedy is to stop using the Service and delete your account.

15. Governing Law and Dispute Resolution

1. Governing law. These Terms are governed by the laws of the United States, State of [TBD — set when LLC is formed], without regard to its conflict-of-laws principles.
2. Informal resolution. Before filing a formal dispute, you must first contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days.
3. Binding arbitration. To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration administered by a recognized arbitration provider, with the arbitration conducted in English in the jurisdiction set forth above (or by remote/written procedure where the arbitrator agrees).
4. Class-action waiver. YOU AND VIBERWORLD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
5. Exception. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction, and either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.
6. 30-day opt-out. You may opt out of the arbitration provision in this Section by sending written notice to [email protected] within 30 days of first accepting these Terms.

16. DMCA / Copyright

If you believe that User Content on the Service infringes your copyright, please send a written notice that complies with the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) to [email protected]. Notices must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material with sufficient detail to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on the owner's behalf. We may forward notices to the alleged infringer and may, in our discretion, terminate accounts of repeat infringers.

17. Miscellaneous

1. Entire agreement. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and ViberWorld regarding the Service and supersede all prior agreements.
2. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
3. No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
4. Assignment. You may not assign or transfer these Terms or any rights hereunder. We may assign these Terms freely, including in connection with a merger, acquisition, financing, or sale of assets.
5. Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, pandemic, internet failures, third-party provider failures, denial-of-service attacks, government actions, labor disputes, or other force majeure events.
6. Headings. Section headings are for convenience only and do not affect interpretation.
